FISSION ANNOUNCES PROPOSED AMENDMENT TO INTERIM ORDER

KELOWNA, BC , Sept. 5, 2024 /CNW/ - FISSION URANIUM CORP. (TSX: FCU) (OTCQX: FCUUF) ("Fission") announced today that it intends to apply to the Supreme Court of British Columbia (the "Court") on September 6, 2024, to amend the interim order obtained from the Court on July 19, 2024 (the "Interim Order") authorizing the holding of and the matters relating to the conduct of the special meeting of Fission's securityholders (the "Meeting") in connection with the previously announced plan of arrangement (the "Arrangement") with Paladin Energy Limited ("Paladin"). On August 26, 2024, Fission adjourned the Meeting to September 9, 2024. The amended Interim Order would provide for a new Meeting date of September 9, 2024, a new deadline to deliver notices of dissent of September 5, 2024, a new Court hearing date for approval of the Arrangement of September 12, 2024, a deadline of September 10 for responses for persons intending to attend the September 12 hearing, and for the exercise of all of the outstanding options of Fission (the "Options"), such that the holders of the Options ("Optionholders") would become the holders of the common shares of Fission (the "Shares") issuable upon the exercise of the Options and would be entitled to vote such Shares at the upcoming Meeting on September 9, 2024.

Fission continues to recommend that shareholders and Optionholders (collectively, "Securityholders") vote FOR the Arrangement. Fission notes that both major independent proxy advisory firms, ISS and Glass Lewis, have recommended Securityholders vote FOR the Arrangement.

Securityholders who have not yet voted are urged to do so as soon as possible, in accordance with the instructions accompanying the form of proxy or voting instruction form mailed to Securityholders together with the Circular. The deadline for Securityholders to return their completed proxies or voting instruction forms is September 5, 2024 at 10:00 a.m. (Pacific time).

Securityholders who have already voted their securities in support are not required to take further action.
