Skillsoft Announces New Employee Inducement Grant Under NYSE Rule 303A.08

BOSTON--(BUSINESS WIRE)--Feb. 20, 2026-- Skillsoft (NYSE: SKIL) (“Skillsoft” or the “Company”), the leading AI-native skills management platform built for the human + AI era, today announced that on February 18, 2026, the Talent and Compensation Committee of Skillsoft’s Board of Directors made a grant of 25,000 restricted stock units (“RSUs”) of the Company’s Class A common stock to David Koehn. The grant of RSUs was offered as a material inducement to Mr. Koehn’s hiring as SVP, Product Management on January 5, 2026, and was made under Skillsoft’s 2024 Employment Inducement Incentive Award Plan, as amended. The RSUs vest ratably over four years, subject to Mr. Koehn’s continued employment with the Company through each vesting date.

The award was granted in reliance on the employment inducement exemption under the NYSE’s Listed Company Manual Rule 303A.08, which requires public announcement of inducement awards. The Company is issuing this press release pursuant to Rule 303A.08.
